Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Vaulted Desk ("we", "us", "our", "the Company"), the operator of the Traders Vault desktop application and the website located at tradersvault.app (collectively, the "Service").

By downloading, installing, launching, or otherwise accessing the Service in any manner, you agree to be bound by these Terms in their entirety. If you do not agree to all of these Terms, you must not use the Service.

Your continued use of the Service after any updates to these Terms constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

No Financial Advice — Use at Your Own Risk

Vaulted Desk is not a registered financial adviser, broker, dealer, investment company, or regulated financial services provider under the Financial Conduct Authority (FCA), the Securities and Exchange Commission (SEC), or any other regulatory body in any jurisdiction worldwide. We do not hold and have never held any financial services licence, authorisation, or registration.

You expressly acknowledge and agree that:

• All features of the Service are informational and educational tools only. They are not personalised recommendations, solicitations, or offers to buy or sell any financial instrument.
• Any trading decisions you make are entirely your own responsibility. You must exercise your own independent judgement and, where appropriate, seek advice from a qualified, regulated financial professional before making any trading or investment decision.
• Bot features, automated signals, signal sharing, and any algorithmic or automated tools within the Service are provided strictly for convenience and informational purposes. They do not constitute trading recommendations. Any bot, signal, or automated feature you use is done entirely at your own risk.
• Past performance data, statistics, P&L figures, analytics, or projections displayed within the Service are historical or user-inputted data only. They are not indicative of future results and should not be relied upon for making financial decisions.
• Vaulted Desk and its founders, employees, agents, affiliates, and partners accept no liability whatsoever for any financial loss, trading loss, missed opportunity, tax liability, or any other damages you incur as a result of using, relying on, or being influenced by any aspect of the Service.
• You are solely responsible for complying with all applicable laws, regulations, and tax obligations in your jurisdiction relating to your trading activities.

If you do not understand or agree with this disclaimer, you must not use the Service.

Account Registration & Eligibility

To use the Service, you must:

• Be at least 18 years of age. The Service is not intended for individuals under the age of 18.
• Be a human individual — accounts registered by bots or automated methods are not permitted.
• Provide accurate, current, and complete registration information including your name and email address.
• Maintain the security of your account credentials and promptly notify us of any unauthorised use.
• Not create multiple accounts without our prior written consent.
• Comply with all applicable laws and regulations in your jurisdiction when using the Service.

Access to Traders Vault may be invite-only or subject to an approval process at our discretion. We reserve the right to refuse registration or access to any person for any reason.

You are solely responsible for all activity that occurs under your account. You must not share your account credentials with any third party or allow others to access the Service through your account.

Licence Grant

Subject to your compliance with these Terms and payment of any applicable fees, Vaulted Desk grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• Download and install one copy of the Traders Vault application on devices you personally own or control.
• Access and use the features of the Service corresponding to your active subscription tier (Free, Monthly, or Lifetime).

This licence does not include any right to:

• Transfer, sell, sublicense, assign, or otherwise convey your licence or access rights to any third party.
• Use the Service for any commercial purpose beyond your own individual trading activities.
• Access the Service in a manner that exceeds the scope of your paid tier.

The Lifetime licence ("Licence Key") grants perpetual access to the version of the software available at the time of purchase, plus all future updates released while Vaulted Desk continues to operate the Service. It is tied to a single user and is non-transferable.

Prohibited Use

You agree not to, and will not permit any third party to:

• Reverse engineer, decompile, disassemble, or derive source code from the application or any part of the Service.
• Modify, adapt, translate, or create derivative works based upon the Service or any component thereof.
• Resell, redistribute, sublicense, or commercially exploit the Service or any part of it.
• Share account credentials or allow others to use the Service under your account.
• Scrape, harvest, or extract data from the Service using automated means, bots, spiders, or similar tools.
• Attempt to gain unauthorised access to any part of the Service, our servers, or any connected systems.
• Interfere with or disrupt the integrity, availability, or performance of the Service.
• Use the Service to harm others — including harassment, fraud, or any illegal activity.
• Circumvent any access controls or licence enforcement mechanisms.
• Use the Service in any manner that violates applicable laws or regulations, including without limitation securities laws, data protection laws, or export control regulations.

Any breach of this section may result in immediate termination of your account and, where applicable, legal action.

Intellectual Property

All rights, title, and interest in and to the Service — including but not limited to the software code, application design, user interface, graphics, logos, trademarks, trade names, service marks, and all other proprietary materials — are and shall remain the exclusive property of Vaulted Desk.

Nothing in these Terms transfers any intellectual property rights to you. Your use of the Service does not grant you any ownership rights whatsoever.

You agree not to:

• Copy, clone, reproduce, or duplicate any portion of the Service or its visual design.
• Create or distribute derivative works based on the Service.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use any Vaulted Desk or Traders Vault branding, trade names, or logos without our prior written consent.

Feedback, suggestions, or feature requests you submit to us may be used by Vaulted Desk freely and without obligation to you.

User Content & Trading Data

You retain ownership of all trading data, account information, notes, and other content you input into the Service ("User Content"). Vaulted Desk does not claim ownership of your User Content.

By using the Service, you grant Vaulted Desk a worldwide, royalty-free, non-exclusive licence to store, process, transmit, and display your User Content solely to the extent necessary to provide, maintain, and improve the Service. This licence terminates when you delete your account and all associated data has been removed from our systems.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that your User Content does not infringe any third-party rights and that you have all necessary permissions to submit it to the Service.

Copy Trading, Signals & Bot Disclaimer

The copy trading, Copier panel, bot, signal, and any automated features within the Service are software tools that facilitate connections to third-party APIs and automate user-defined actions. They are provided “as is” and “as available” and do not constitute:

• Financial advice, investment advice, or trading recommendations of any kind.
• A solicitation or offer to buy, sell, or hold any financial instrument.
• A guarantee, promise, or prediction of future results or profitability.
• A managed account service or discretionary portfolio management.

You expressly acknowledge and agree that:

• All bot features, signals, automated strategies, and copy-trade functionality are used entirely at your own risk. Vaulted Desk does not control, verify, audit, or guarantee the accuracy, reliability, or profitability of any bot, signal, strategy, or automated action.
• Bots and automated tools may malfunction, execute incorrect trades, experience latency, or produce unexpected results. You are responsible for monitoring all automated activity and for any consequences arising from its use.
• Signals shared by other users or generated within the Service are the opinions or outputs of those users or algorithms, not of Vaulted Desk. We do not endorse, verify, or take responsibility for any signal, trade idea, or strategy shared through the Service.
• Past performance, historical data, and backtested results are not indicative of future results. Markets are inherently unpredictable and no software tool can guarantee profits.
• You are solely and exclusively responsible for all trading decisions, all positions entered, and all financial outcomes resulting from your use of the Service, whether manual or automated.
• Vaulted Desk, its founders, directors, employees, agents, and affiliates are not liable for any trading losses, liquidations, margin calls, missed opportunities, or any other financial damages arising directly or indirectly from your use of bots, signals, copy trading, or any other feature of the Service.
• You should seek independent, qualified, regulated financial advice before engaging in any form of trading.

Assumption of Risk

Trading in financial markets carries a high level of risk. You acknowledge that:

• Trading is speculative and may result in the loss of your entire investment. You should only trade with capital that you can afford to lose completely.
• Leveraged products (including CFDs, futures, and forex) carry additional risk and can amplify losses beyond your initial deposit.
• The Service is a tool — it does not reduce or eliminate market risk. No feature, panel, calculator, bot, or signal within the Service removes the inherent risks of trading.
• You are acting on your own behalf and not on behalf of Vaulted Desk. Vaulted Desk is not your agent, broker, fiduciary, or adviser.
• You accept full responsibility for any and all consequences — financial, legal, or otherwise — arising from your trading activity, whether or not such activity was informed by, facilitated by, or conducted through the Service.
• You waive any claim, right of action, or cause of action against Vaulted Desk arising from financial losses incurred through trading, to the fullest extent permitted by applicable law.

If you do not accept these risks, you must not use the Service for any trading-related purpose.

Third-Party Integrations

The Service integrates with various third-party platforms and services, including but not limited to cTrader, Tradovate, DXTrade, Project X, Discord, Supabase, and others (collectively, "Third-Party Services").

You acknowledge and agree that:

• Third-Party Services are independent of Vaulted Desk and are governed by their own terms of service and privacy policies.
• Vaulted Desk does not control Third-Party Services and is not responsible for their availability, accuracy, content, or conduct.
• Your use of Third-Party Services is entirely at your own risk and subject to the respective terms of those services.
• Vaulted Desk is not liable for any damages, losses, or issues arising from your interaction with Third-Party Services, including API outages, data errors, or policy changes by those services.
• Integration with a Third-Party Service does not constitute an endorsement of that service by Vaulted Desk.

When you provide API keys, webhook URLs, or credentials for Third-Party Services, you do so at your own risk. You are responsible for maintaining the security of such credentials.

Termination

Vaulted Desk reserves the right to suspend or permanently terminate your access to the Service at any time, at our sole discretion, with or without notice, for any reason including but not limited to:

• Breach of these Terms or our policies.
• Conduct that we believe is harmful to other users, the Service, or third parties.
• Failure to pay applicable subscription fees.
• Request by law enforcement or government authorities.
• Extended periods of account inactivity.
• Our decision to discontinue the Service.

Upon termination, your licence to use the Service immediately ceases. You may request deletion of your account and personal data by contacting us at support@tradersvault.com.

You may terminate your own account at any time by contacting support. Termination does not entitle you to a refund of any prepaid fees, except where required by applicable law.

Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

Limitation of Liability

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Vaulted Desk expressly disclaims all warranties, including without limitation:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
• Warranties regarding the accuracy, completeness, or reliability of any data or information provided through the Service.

To the maximum extent permitted by applicable law, in no event shall Vaulted Desk or any of its founders, officers, directors, employees, agents, affiliates, or representatives be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Trading losses, investment losses, or financial losses of any kind — whether resulting from manual trades, automated bots, copy trading, signals, or any other feature of the Service.
• Losses caused by bot malfunctions, signal errors, latency, incorrect trade execution, or automated system failures.
• Loss of data, trading records, or account information.
• Loss of profits, revenue, or business opportunity.
• Margin calls, liquidations, or account blow-ups that occur while using or in connection with the Service.
• Damages arising from Service downtime, outages, or technical failures.
• Damages arising from third-party services, APIs, or integrations.
• Any reliance you place on information, data, signals, analytics, or tools provided by the Service.

In any case, our aggregate liability to you for all claims arising under or related to the Service shall not exceed the total amount you paid to Vaulted Desk in the twelve (12) months immediately preceding the event giving rise to the claim, or £50 GBP, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply only to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Vaulted Desk and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your use or misuse of the Service.
• Your User Content.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any trading activity you conduct using or informed by the Service.
• Your violation of any applicable law or regulation.

Vaulted Desk reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with us.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Any legal proceedings arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section prevents Vaulted Desk from seeking emergency injunctive or other equitable relief in any jurisdiction to protect its intellectual property or other proprietary rights.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify users via email or in-app notification for material changes where reasonably practicable.

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

We encourage you to review these Terms periodically. The current version is always available at tradersvault.app/terms.
